General Terms and Conditions
Overview
§ 1 Scope of Application
These General Terms and Conditions (GTC) apply to all contracts between TERAFLOAT Europa GmbH (hereinafter the “Seller”) and its customers concluded through the online shop at www.terafloat-eu.com/shop. For the purposes of these GTC, customers include both consumers within the meaning of Section 13 of the German Civil Code (BGB) and business customers within the meaning of Section 14 BGB.
These GTC apply to the purchase of electric equine dental and veterinary devices, hand instruments, grinding heads, spare parts and accessories.
For the purposes of these GTC, a consumer is any natural person who enters a legal transaction predominantly for purposes that are outside their trade, business or self-employed professional activity. A business customer is a natural or legal person, or a partnership with legal capacity, who, when entering a legal transaction, acts in the exercise of their trade, business or self-employed professional activity.
Any terms and conditions of the customer that deviate from these GTC shall not be recognized unless the Seller expressly agrees to their application.

§ 3 Conclusion of Contract
Product listings do not constitute binding offers. The customer places items in the shopping basket, may review and correct their entries before placing the order, and submits a binding offer by clicking the button labelled “Order with obligation to pay” (or the corresponding legally compliant wording used in the shop).
An automatic order receipt confirmation does not constitute acceptance. The contract is concluded when the Seller sends a separate order confirmation or shipping confirmation. The contractual provisions will be provided on a durable medium no later than with contract confirmation. The contract language is German; other languages are available only if offered in the shop.
§ 4 Products and Use
As a general rule, all devices, including electrical devices, instruments, spare parts and accessories offered for sale may also be purchased by consumers.
The purchase does not certify any professional qualification or legal authorization to carry out veterinary treatments. Products must be used only for their intended purpose and in accordance with the operating instructions and safety information. Veterinary procedures may be carried out only by persons legally authorized to do so.
The agreed product characteristics shall be decisive. The Seller’s statutory obligations relating to product conformity, safety, labelling and information remain unaffected.
§ 5 Prices and Taxes
Prices for consumers are stated as total prices, including applicable value added tax (VAT). Net prices may additionally be displayed to business customers; the total amount payable will be shown before the order is placed.
Shipping costs are shown separately and before the order becomes binding. The applicable VAT rules apply to cross-border deliveries within the EU, in particular to intra-Community B2B supplies.
§ 6 Payment Terms
Depending on the order and the customer, credit card, PayPal, bank transfer/prepayment and purchase on account may be offered, insofar as they are available at checkout.
New customers must generally pay for their first order in advance. In such cases, delivery will take place after full payment has been received.
Existing customers may order on account after their first order has been completed successfully, subject to approval by the Seller. The payment period is 30 days from the invoice date unless the invoice specifies otherwise.
Availability of payment on account may be made subject to a review and approval by the Seller. There is no entitlement to any payment method.
- 7 Delivery and Shipping
Delivery is made to the delivery address specified by the customer in the EU Member States offered at checkout. Delivery times are stated in the product listing or at checkout. Shipping costs are calculated based on the order and the destination country and are shown before the order is placed.
Reasonable partial deliveries are permitted at no additional shipping cost to the customer, unless otherwise validly agreed. If the Seller is unable, through no fault of his own, to obtain delivery from its suppliers, the statutory requirements for withdrawing from the contract apply; the customer will be informed without undue delay and any payments already made will be refunded. Statutory rights arising from delivery delays remain unaffected.
§ 8 Transfer of Risk and Transport Damage
For consumers, the risk of loss or damage in transit generally passes only upon delivery of the goods to the consumer or a person authorized to receive them, subject to statutory exceptions.
Consumers are asked to report any visible transport damage; failure to do so does not affect their statutory claims. For business customers, the statutory provisions apply, Section 447 BGB, where applicable.
§ 9 Retention of Title
The goods remain the property of the Seller until the purchase price has been paid in full.
In dealings with business customers, title is retained until all claims arising from the ongoing business relationship have been settled. Business customers may resell the goods in the ordinary course of business and hereby assign to the Seller the resulting claims up to the amount of the secured claims; the assignment is hereby accepted. The customer remains authorized to collect such claims until this authority is revoked where legally permissible. Upon request, securities will be released to the extent that their realizable value exceeds the claims secured by more than 10%.
§ 10 Right of Withdrawal for Consumers
Consumers generally have the statutory right of withdrawal for distance contracts, unless a statutory exception applies. The separately provided withdrawal instructions and model withdrawal form apply.
The right of withdrawal may also be exercised using the electronic withdrawal function on our website at https://www.terafloat-eu.com/en/withdraw-from-contract/.
Business customers do not have a statutory consumer right of withdrawal.
§ 11 Claims for Defects and Guarantees
The statutory rights relating to defects apply to consumers and business customers, without any contractual shortening of limitation periods. For new goods, the regular limitation period for consumers is two years from delivery, subject to statutory exceptions.
Where applicable, merchants are subject to the inspection and notification obligations under Section 377 of the German Commercial Code (HGB). Improper use and interventions are considered only in accordance with the statutory rules where they are the cause of the defect. Voluntary guarantees apply only where expressly granted; statutory rights remain unaffected.
§ 12 Safety
Products must be used only in accordance with their intended purpose and the instructions provided. Users must observe any necessary professional qualifications and legal authorizations.
The Seller’s statutory obligations concerning product safety, instructions, conformity and liability remain unaffected. Use other than as intended does not automatically exclude statutory claims.
§ 13 Liability
Liability is unlimited in cases of intent, gross negligence, injury to life, body or health, fraudulent concealment, an expressly assumed guarantee, and under mandatory product liability law.
In the event of a slightly negligent breach of material contractual obligations, liability is limited to the foreseeable damage typical of the contract. In all other cases, liability for slight negligence is excluded to the extent permitted by law. The same applies to the Seller’s legal representatives and agents.
§ 14 Intellectual Property Rights
Trademarks, product names, images, drawings and other protected content remain the property of their respective rights holders. The purchase does not transfer any further intellectual property rights; use of the product for its intended purpose remains permitted.
§ 15 Data Protection
Personal data is processed in accordance with applicable data protection law, in particular the General Data Protection Regulation (GDPR). Further details are set out in the separate privacy policy on the website.
§ 16 Applicable Law and Place of Jurisdiction
German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). For consumers, mandatory protective provisions of the law of the country in which they habitually reside remain unaffected, insofar as applicable under conflict-of-law rules.
Where legally permissible, the place of jurisdiction for merchants, legal entities under public law and special funds under public law shall be the court having jurisdiction over the registered office of TERAFLOAT Europa GmbH. The statutory rules on jurisdiction apply to consumers.
§ 17 Final Provisions
The version validly incorporated into the contract at the time the contract is concluded shall apply. Individual agreements and mandatory law take precedence. If any individual provision is invalid, the statutory provisions shall apply in its place; the remaining provisions shall remain effective.
